THE PORTER COUNTY FIRE ASSOCIATION

Article IName
 Section lThis organization shall be known and designated as THE PORTER COUNTY FIRE ASSOCIATION.

Article II Object
 Section 1The object of this Association shall be joining of the departments to promote mutual aid, training, and education on a county wide basis.

Article IIIMembership
 Section lThe membership of the Association shall be composed of Chiefs and Assistant Chiefs or a designated member of all departments within the limits of Porter County, Indiana, with a maximum of two members per department.

Article IVOfficers, Duties and Election
 Section 1(a) The officers of this Association shall consist of: President, Vice­ President, Secretary, Treasurer, Chaplain and Public Relations Director
 (b) The officers of the Association shall be elected in January. 1979 and in January of each year thereafter, and shall hold the office from February 1 St to January 31st .
 (c) The majority of all votes shall be necessary for the necessary for the election of any office. Each person present shall have one vote. Election of the shall be by ballot only.
 Section 2President
 It shall be the duty of the President to preside at all meetings of the Association, appoint all committees, generally supervise all affairs and perform such as implied by the office. The President shall be a member ex-officio of all committees.
 Section 3Vice-President
 It shall be the duty of the Vice- President to preside in the absence of and have the same authority as the President. The Vice-President shall also perform other duties as usually pertain to that office or as may assigned by the President.
 Section 4Secretary
 The secretary shall keep an accurate account of all meetings of the Association, keep a roll of membership, handle all correspondents, and prepare reports as ordered by the President.
 Section 5Treasurer
 The treasurer shall keep an accurate account of Association funds, receive all monies and disburse same. The treasurer shall make a financial report at all the regular business meetings.
 Section 6Public Relations Director
 The Public Relations Director shall handle all publicity, act as goodwill ambassador of the Association and perform such other duties as the office may imply.
 Section 7Absence and Resignation- Officers
 (a)When the President and Vice-President are absent from a meeting, the secretary shall preside or select a temporary chairman from membership present.
 (b) When an officer resigns his duties of office:
 (1) The President shall appoint a member to fill out the term of office.
 Section 8Chaplain
 (a) The Chaplain will attend to the spiritual needs of the members and the members of their communities. (10-2002)

Article VMeetings
 Section 1Regular business meetings shall be the third Tuesday of every month, beginning at 7:30 P.M. at the designated location.
 Section 2The order of the business meetings shall be: (Adopted 4-17-1979)
 1. Pledge of Allegiance to the Flag of the United States .
 2. Roll Call.
 3. Introduction of visitors.
 4. Reading of minutes of previous meetings.
 5. Report of treasurer.
 6. Correspondence and Bills.
 7. Report of committees.
 8. Unfinished business.
 9. New business.
 10. Good of the Organization.
 11. Announcements.
 12. Adjournment.

Article VIDues
 Section 1The dues of this association shall be $50.00 per department annually. Dues will be paid by the business meeting in February. (01-2001)

Article VIIAudit
 Section 1An auditing committee of three members shall be appointed to audit the books of the Treasurer annually, and whensoever ordered, and to submit an audit along with any recommendations as may be necessary.

Article VIIIAmendments
 Section 1Any member may submit a written amendment to change or be added to the By-Laws of the Association at any regular meeting. Amendments will be sent out to each department with notification of meetings. Said membership will then vote on the amendment at the next regular business meeting. Acceptance shall require a two-thirds majority of membership.

Article IXCharitable Status (09-17-2002)
 Section 1Said organization is organized exclusively for charitable, religious, educational and scientific purposes, including for such purposes, the making of distributions to organization that qualify as exempt organization under section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future tax code.

No part of the net earning of the organization shall inure to the benefit of, or be distributed to its members, trustees, officers or other private persons, except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof. No substantial part of the activities of the organization shall be carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in, or intervene in (including the publishing or distributions of statements) any political campaign on behalf of any candidate for public office. Notwithstanding any other prevision of this document, the organization shall not carry an other activities not permitted to be carried on (a) by an organization exempt from federal income tax under section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under section 170 (c) (2) of the Internal Revenue Code, or corresponding section of any future federal tax' code.

 Section 2Upon the dissolution of this corporation, the assets that remain, if any, after payment of all debts and liabilities of this corporation shall be distributed to a non-profit fund, foundation, or corporation which is organized and operated exclusively for charitable purposes and engages itself in activities substantially similar to those of this corporation, and which has established itself as tax exempt under the section 501 (c) (3) Internal Revenue Code.
